Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Trustbl ("Trustbl," "we," "us," or "our") governing your access to and use of the Trustbl website located at https://trustbl.ai, the Trustbl AI-powered sustainability, trust, and transparency platform, and all related services, tools, APIs, and applications (collectively, the "Services").

By accessing or using the Services, creating an account, or clicking "I Agree" or any similar button, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.

2. Definitions

In these Terms, the following defined terms shall have the meanings set forth below:

• "Account" means your registered user account on the Services.
• "Authorized User" means an individual who is authorized by an Enterprise Subscriber to access and use the Services under an enterprise subscription.
• "Customer Content" means any data, information, files, or content that you upload, submit, or transmit through the Services.
• "Enterprise Subscriber" means an organization that has entered into an enterprise subscription agreement with Trustbl.
• "Intellectual Property" means all patents, copyrights, trademarks, trade secrets, and other proprietary rights.
• "Outputs" means the results, reports, insights, and other content generated by the Services based on your Customer Content.
• "Platform" means the Trustbl AI-powered sustainability, trust, and transparency platform.
• "Subscription" means your subscription plan for accessing paid features of the Services.

3. Description of Services

Trustbl provides an AI-powered sustainability, trust, and transparency platform that enables enterprises to collect, manage, analyze, and report on sustainability and environmental, social, and governance (ESG) data. The Services include, but are not limited to:

• Data collection and management tools for sustainability metrics
• AI-powered analytics and insights
• Reporting and compliance features
• Blockchain-verified transparency and trust mechanisms

Trustbl reserves the right to modify, update, enhance, or discontinue any aspect of the Services at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of any material changes that significantly affect your use of the Services.

4. Eligibility and User Accounts

4.1 Eligibility

You must be at least 16 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Services. By creating an Account, you represent and warrant that you meet the applicable eligibility requirements and that the information you provide is accurate and complete.

4.2 Account Registration

To access certain features of the Services, you must create an Account by providing your name, email address, organization name (if applicable), and other requested information. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.3 Account Security

You are responsible for maintaining the confidentiality of your Account credentials, including your password. You agree to immediately notify Trustbl of any unauthorized use of your Account or any other breach of security.

4.4 Enterprise Accounts

Enterprise Subscribers may designate administrators who can create, manage, and remove Authorized User accounts within their organization's subscription. Enterprise administrators are responsible for ensuring that all Authorized Users comply with these Terms and any applicable enterprise agreement.

5. User Responsibilities and Acceptable Use

5.1 General Responsibilities

You agree to use the Services only for lawful purposes and in compliance with these Terms, all applicable laws and regulations, and any applicable enterprise agreement. You are solely responsible for the accuracy, legality, and appropriateness of all Customer Content you submit through the Services.

5.2 Prohibited Conduct

You agree not to:

• Use the Services in any manner that violates applicable laws or regulations
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use automated systems to access the Services in a manner that sends more requests than a human could reasonably produce
• Upload or transmit viruses, malware, or other malicious code
• Reverse engineer, decompile, or attempt to extract source code from the Services

6. Intellectual Property Rights

6.1 Trustbl Intellectual Property

All rights, title, and interest in and to the Services, including the Platform, its underlying technology, AI models, algorithms, software, APIs, documentation, designs, trademarks, trade names, logos, and all associated Intellectual Property, are and shall remain the exclusive property of Trustbl and its licensors. These Terms do not grant you any ownership interest in the Services.

6.2 License to Use the Services

Subject to your compliance with these Terms and payment of applicable fees, Trustbl grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the term of your Subscription. This license is solely for your internal business purposes in accordance with these Terms.

6.3 Feedback

If you provide Trustbl with any suggestions, ideas, feedback, or recommendations regarding the Services ("Feedback"), you hereby grant Trustbl an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, and distribute such Feedback for any purpose without restriction or compensation to you.

7. Data Ownership and License Grants

7.1 Ownership of Customer Content

Nothing in these Terms shall be construed to transfer ownership of your Customer Content to Trustbl.

7.2 License to Trustbl

By submitting Customer Content to the Services, you grant Trustbl a non-exclusive, worldwide, royalty-free license to access, use, process, store, reproduce, display, and transmit your Customer Content solely as necessary to provide, maintain, and improve the Services. This license terminates when you delete your Customer Content or when your Account is terminated.

7.3 Aggregated and De-Identified Data

Trustbl may use aggregated and de-identified data derived from Customer Content for analytics, benchmarking, research, product improvement, and other lawful purposes, provided that such data cannot reasonably be used to identify you or any individual.

7.4 Outputs

Subject to Trustbl's underlying Intellectual Property rights in the Services, you own the Outputs generated by the Services from your Customer Content. You may use such Outputs for your internal business purposes. Trustbl retains all rights in the algorithms, models, and methodologies used to generate the Outputs.

8. Subscriptions, Fees, and Billing

8.1 Subscription Plans

Trustbl offers various subscription plans, which may include free tiers, trial periods, and paid tiers with different levels of access, features, and usage limits. The specific features, pricing, and terms of each plan are described on our website or in an applicable order form or enterprise agreement.

8.2 Fees and Payment

Paid Subscriptions are billed in advance on a monthly or annual basis, as specified in your chosen plan or enterprise agreement. All fees are quoted in U.S. dollars unless otherwise specified and are exclusive of applicable taxes, duties, and levies, which you are responsible for paying.

8.3 Automatic Renewal

Unless you cancel your Subscription before the end of the current billing cycle, your Subscription will automatically renew for successive periods of the same duration at the then-current pricing. Trustbl will provide at least 30 days' notice of any pricing changes that will take effect at the next renewal.

8.4 Cancellation and Refunds

You may cancel your Subscription at any time through your Account settings or by contacting us at billing@trustbl.ai. Cancellations take effect at the end of the current billing period. We do not provide prorated refunds for unused portions of a billing period unless required by applicable law.

8.5 Late Payments

If any payment is not received by the due date, Trustbl reserves the right to suspend or restrict access to the Services upon 15 days' written notice. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

9. Third-Party Services and Links

The Services may contain integrations with, or links to, third-party services, websites, applications, or content that are not owned or controlled by Trustbl. These third-party services are provided for your convenience and are governed by their own terms of service and privacy policies.

Trustbl does not endorse, guarantee, or assume any responsibility for the accuracy, reliability, or legality of any third-party services or content. Your use of third-party services is at your own risk. Trustbl shall not be liable for any loss or damage arising from your use of any third-party service.

10. Disclaimer of Warranties

Trustbl expressly disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, Trustbl does not warrant that: (a) the Services will be uninterrupted, error-free, or free from harmful components; (b) the Outputs or any data generated by the Services will be accurate, complete, reliable, or suitable for any particular purpose; (c) any defects or errors in the Services will be corrected; or (d) the Services will meet your specific requirements or expectations.

You acknowledge that the AI-powered features of the Services generate Outputs based on algorithms, models, and data inputs, and that such Outputs are intended to assist, not replace, professional judgment. Trustbl does not guarantee the accuracy or completeness of any AI-generated insights, and you are solely responsible for verifying and validating any Outputs before relying on them.

11. Limitation of Liability

Trustbl's total aggregate liability shall not exceed the greater of: (a) the total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100.00).

The limitations of liability set forth in this section shall apply to the fullest extent permitted by law in the applicable jurisdiction, even if any remedy fails of its essential purpose.

12. Indemnification

You agree to indemnify, defend, and hold harmless Trustbl, its affiliates, and their respective directors, officers, employees, agents, and successors from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services in violation of these Terms
• Your Customer Content or any infringement of intellectual property or other rights
• Your violation of any applicable laws or regulations
• Your breach of any representation or warranty in these Terms

Trustbl will provide you with prompt written notice of any such claim and will cooperate with you in the defense of such claim. Trustbl reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

13. Termination and Suspension

13.1 Termination by You

You may terminate your Account and stop using the Services at any time by deleting your Account through the platform settings or by contacting us at support@trustbl.ai. Termination does not relieve you of any obligation to pay fees that accrued prior to termination.

13.2 Termination or Suspension by Trustbl

Trustbl may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including if Trustbl reasonably believes that:

• You have violated these Terms or any applicable law
• Your use of the Services poses a security or legal risk
• You have failed to pay fees when due
• Continuing to provide the Services would be unlawful

Where practicable, Trustbl will provide you with reasonable notice and an opportunity to cure any curable breach before suspension or termination. In cases of serious or repeated violations, Trustbl may terminate your Account immediately without notice.

13.3 Effect of Termination

Upon termination of your Account or Subscription: (a) your license to use the Services immediately terminates; (b) you must cease all use of the Services; (c) Trustbl will retain your Customer Content for up to 30 days following termination to allow you to export your data, after which it will be deleted in accordance with our data retention policies; and (d) any provisions of these Terms that by their nature should survive termination shall survive.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

14.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") shall first be resolved through good-faith negotiation between the parties for a period of at least 30 days. If the Dispute is not resolved through negotiation, either party may submit the Dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

14.3 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, copyrights, trademarks, or trade secrets.

14.4 Class Action Waiver

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, any applicable order form or enterprise agreement, and any supplemental terms or policies referenced herein, constitute the entire agreement between you and Trustbl with respect to the Services and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Trustbl's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Trustbl's prior written consent. Trustbl may freely assign these Terms. Any attempted assignment in violation of this section shall be void.

15.5 Modifications to Terms

Trustbl reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date" at the top of this page. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
